What buyers actually look for (and the checklist that lifts your price)
Behind every question a buyer asks is one real one: "Can I own and run this without you?" Everything they verify is a version of that. Make the answer an obvious yes and you don't just close faster - you close higher.
Proof it works
- Revenue proof. Read-only access to Stripe / Paddle / your billing dashboard. Verifiable numbers move a deal from "maybe" to "offer" faster than anything else. Unverifiable revenue is the #1 deal-killer.
- Traction (if pre-revenue). Users, the growth curve, retention - make the momentum impossible to ignore.
- Analytics + traffic sources. Buyers want to see where growth comes from, and that it isn't one fragile channel.
The asset itself
- Source code + a setup / README. Clean, documented code signals a low-risk handover and protects your valuation.
- Stack & third-party services with monthly costs - the true cost to run it, and exactly what transfers.
- Domain & DNS, transfer-ready.
- Brand & IP - logo, trademarks, content rights. This confirms the buyer actually owns what they're paying for, and removes a classic deal-killer.
The keys
- Accounts inventory + transfer plan. Every login a buyer needs, mapped, so nothing slips through the handover.
- Customer data + privacy / ToS in order. Compliant data transfer keeps the deal clean and the buyer confident.
How it runs
A short "how it runs" doc - the weekly ops, any contractors, the two or three things that keep the lights on. This proves the business runs without heroics, and without you. That's exactly what buyers pay up for.
The red flags that kill deals
- Owner dependency. If it needs the founder, buyers discount hard or walk.
- One fragile channel. Concentrated traffic or a single big customer is priced as risk.
- Books that don't reconcile. The fastest way to lose a buyer's trust mid-diligence.
- Unclear IP or messy accounts. Ambiguity about what actually transfers stalls or sinks deals.
Why prep is the highest-ROI thing you'll do
Each item above is a reason for a buyer to either pay more or discount. Ticking them off before you list does two things at once: it raises your multiple and it turns due diligence from a renegotiation into a formality. Sellers who show up buyer-ready close faster and higher - every time.
